PUBLIC AGREEMENT (OFFER)
regarding the provision of access to the "Prooflooker" service

Prooflooker Service (hereinafter referred to as the "Provider"), on the one hand, offers to an indefinite circle of persons (hereinafter referred to as the "User") to enter into this Service Agreement (hereinafter referred to as the "Agreement") on the terms set forth below.
This Agreement is a public contract in accordance with Art. 633 of the Civil Code of Ukraine, and its terms are identical for all Users.
1. DEFINITIONS
1.1. Site / Service — the "Prooflooker" software complex located on the Internet at https://prooflooker.com/ and https://my.prooflooker.com/, designed to automate the processes of verifying the professional experience of candidates.
1.2. Acceptance — full, unconditional, and unreserved acceptance by the User of the terms of this Agreement. The fact of registration on the Site is considered Acceptance.
1.3. User (Recruiter) — a capable natural person, individual entrepreneur, or legal entity that has registered on the Site for the purpose of using its functionality for professional activities.
1.4. Credit — a conditional accounting unit of the Service, which grants the right to perform one verification (Verification).
1.5. Candidate — a natural person whose data (resume/CV) is uploaded by the User to the Service for experience verification.
2. SUBJECT OF THE AGREEMENT
2.1. The Provider undertakes to grant the User access to the functional capabilities of the Service (SaaS — Software as a Service) for carrying out candidate experience verification (Employment Verification) and collecting recommendations (Reference Check), and the User undertakes to pay for such services in accordance with the terms of this Agreement.
2.2. The Services include:
- Parsing (automatic analysis) of resumes using Artificial Intelligence (AI) technologies.
- Automated communication with the Candidate and their Referees (contact persons).
- Generation of reports based on the results of verifications.
3. REGISTRATION AND VERIFICATION PROCEDURE
3.1. Registration on the Site is carried out by entering an email address and confirming it via a one-time code (OTP) or through the Google authorization service. Passwords are not used and are not stored.
3.2. The User bears full responsibility for maintaining access to their email. Any actions performed in the Service using the User's email are considered to have been performed by the User themselves.
4. RIGHTS AND OBLIGATIONS OF THE PARTIES
4.1. The User is obliged to:
4.1.1. Obtain resumes and personal data of Candidates exclusively by legal means.
4.1.2. Before uploading a resume to the Service, ensure that they have the right to process this data.
4.1.3. Pay for the Service's services in a timely manner.
4.1.4. Not use the Service for fraudulent actions, spam, or collecting data on persons who are not candidates for employment.
4.2. The Provider has the right to:
4.2.1. Block the User's account in case of violation of the terms of the Agreement, particularly upon detection of signs of fraud or the creation of multiple accounts to abuse the referral program.
4.2.2. Make changes to the functionality of the Service and verification algorithms without prior notice.
4.2.3. Engage third parties (sub-processors) to provide services (specifically, OpenAI for text processing, Contabo for hosting).
5. COST OF SERVICES AND SETTLEMENT PROCEDURE
5.1. Tariffs for services are defined in the equivalent of the US Dollar (USD) and are published on the page https://prooflooker.com/.
5.2. Payment Currency: Payment is made exclusively in the national currency of Ukraine — Hryvnia (UAH).
5.3. Conversion Procedure: The amount payable in Hryvnia is calculated according to the official exchange rate of the National Bank of Ukraine (NBU) on the day the invoice is issued or the transaction is carried out through the payment system, unless otherwise provided by the acquiring rules (Monobank).
5.4. Service Packages (Tariffs):
- Starter Pack: Equivalent of $25 (5 credits).
- Pro Pack: Equivalent of $80 (20 credits).
- Business Pack: Equivalent of $150 (50 credits + priority support).
5.5. Payment is made:
- Automatically through the internet acquiring system (Monobank).
- By bank transfer according to details (invoice) for legal entities.
5.6. Credits are credited to the User's balance immediately after payment confirmation (or crediting of funds to the Provider's account when paying by invoice).
5.7. The cost of services does not include bank or payment system commissions, which are paid by the User independently.
6. MECHANICS OF SERVICE PROVISION (CREDITS)
6.1. Deduction of 1 (one) Credit occurs at the moment of initiating a verification (clicking the button to send a request to the Candidate or parsing data, depending on system settings).
6.2. The service is considered properly rendered at the moment the final report is generated or at the moment the Service has exhausted technical possibilities to obtain a response (for example, if the Referee did not respond to a series of automated emails). The absence of a response from a Referee is not grounds for returning a Credit, as the Service has performed the work of distribution and monitoring.
6.3. Credits do not have an expiration date unless otherwise specified in the conditions of promotional offers.
7. REFERRAL PROGRAM
7.1. The User may invite new participants (recruiters) using their unique link.
7.2. Rewards:
- Invitee: Receives +3 credits upon registration.
- User (Inviter): Receives 5 credits (equivalent to $25 Value) after the Invitee successfully completes their first verification.
7.3. It is prohibited to register one's own additional accounts using one's own referral link. If such actions are detected, all bonuses are annulled, and accounts are blocked without a refund of funds.
8. LIABILITY AND LIMITATIONS
8.1. Disclaimer of Warranties (AS IS): The Service is provided "as is". The Provider does not guarantee that:
- The results of text recognition (parsing) using AI will be 100% error-free.
- Information provided by the Referee or Candidate is truthful.
- The Service will operate continuously and without errors.
8.2. Limitation of Liability: The Provider is not liable for any direct or indirect losses, lost profits, or damage to reputation arising from the use of verification results when making personnel decisions. The decision to hire is made exclusively by the User.
8.3. The maximum aggregate liability of the Provider under this Agreement is limited to the amount actually paid by the User for the last purchased service package.
8.4. The User independently bears responsibility for compliance with legislation on personal data protection when transferring third-party resumes to the Service.
9. REFUNDS
9.1. Refunds are possible within 14 (fourteen) calendar days from the moment of payment.
9.2. Refunds are subject only to funds for those service packages from which no Credits have been used. Partial refunds for used packages are not made.
9.3. The refund procedure is regulated by a separate Refund Policy posted on the Site.
10. INTELLECTUAL PROPERTY
10.1. All rights to the program code, design, databases, and algorithms of the Service belong to the Provider.
10.2. The User receives only a non-exclusive right to use the Service for its intended purpose for the duration of the account validity.
11. FORCE MAJEURE
11.1. The Parties are released from liability for non-fulfillment of obligations if this was the result of circumstances of insuperable force (military actions, natural disasters, power outages, failures in the global Internet network or on the side of the hosting provider Contabo) that arose after the conclusion of the Agreement.
12. FINAL PROVISIONS
12.1. This Agreement is governed by the applicable legislation of Ukraine.
12.2. All disputes are resolved through negotiations. In case of failure to reach an agreement — in court at the location of the Provider.
12.3. The Provider has the right to amend the Offer unilaterally. The new version enters into force from the moment it is posted on the Site.
